OPINION. Trammell : These are proceedings for the redetermination under section 280 of the Revenue Act of 1926 of the petitioner’s liability as transferee as alleged by the respondent for income and profits taxes claimed to be due from the Oswego Falls Pulp & Paper Company and Sealright Company, Inc., for the years 1917 to 1922, inclusive, as follows: *61[[Image here]] Upon, petitioner’s motion the hearing in the first instance was limited to the questions: (a) Did the respondent err .in determining that the petitioner is a transferee within the meaning of section 280 of the Revenue Act of 1926 in respect of the Oswego Falls Pulp & Paper Company and Sealright Company, Inc.? (b) Are the proposed deficiencies barred by the statute of limitations ? The petitioner also contends that the Board does not have jurisdiction in Docket 28301 with respect to the years 1920 and 1921, because it is not founded on a competent notice of deficiency from the Commissioner. The petitioner was organized pursuant to an “ agreement of Con ■ solidation of the Oswego Falls Pulp and Paper Company, the Skaneateles Paper Company and the Sealright Company, Inc., forming Oswego Falls Corporation.” This agreement is dated January 30, 1922, and was signed by all of the directors of the Oswego Falls Pulp & Paper Company, the Skaneateles Paper Company and the Sealright Company, Inc.
